Introduction
This End User License Agreement (EULA) establishes a legal contract between the individual or entity obtaining Edito’s font software (referred to as “the Licensee”) and Edito (referred to as “the Supplier”). By acquiring, installing, or utilizing Edito’s font software, the Licensee agrees to adhere to the terms and conditions specified in this agreement. This EULA outlines the permissions, limitations, and obligations associated with the use of the font software provided by Edito.
1. Ownership
The fonts are the exclusive property of Edito. Purchasing a license grants you the right to use the fonts in specific contexts but does not confer ownership or control over them. All rights not explicitly granted in this agreement are reserved by Edito.
2. Licensee and Third-Party Use
The client or end customer commissioning design work is the license holder, not the designer or design agency.
The license is valid only for the specific legal entity (company or organization) that purchased it. Subsidiaries, affiliates, or partner companies must purchase their own separate license.
Designers working for the licensee may use the fonts only for the licensee’s purposes. Each client must hold their own individual license. Designers must obtain a separate license for personal projects. After completing the font software purchase and fulfilling the agreed-upon fee, you are granted a license to install it on the number of computers as specified in the order.
3. License scope
3.1 We believe the benefit of fonts increases with the client’s size. Therefore, our license pricing is determined by the company’s total number of employees. Company size includes all full-time, part-time, temporary, and freelance staff working for the licensee.
3.2 The invoice will specify the authorized usage and capacity of the license.
3.3 Licensees must update their license if their usage exceeds the licensed capacity.
4. License Types
4.1 Desktop License
Allows the use of fonts for print, digital documents, videos, and internal communications in accordance with the constraints specified in the selected license. Please note that the creation of logotypes is not included.
4.2 Logo/Wordmark License
The use of a typeface for crafting a logo is regarded as a unique scenario. This license allows its holder to use a font for a logotype, a symbol or a wordmark, and to legally register or trademark it.
4.3 Web License
Allows embedding the fonts on one web domain using the @font-face technology only. Additional domains require separate licenses. You are solely permitted to use the original WOFF (.woff) and WOFF2 (.woff2) files provided with your webfonts order as webfonts.
4.4 Social Media License
Allows embedding the fonts within your social media content and platforms.
4.5 App/Game License
Allows embedding the fonts in one app (mobile app, video game). Additional apps require separate licenses.
4.6 Trial License
Trial licenses (under the same EULA) are for internal testing only. Public or commercial use is not allowed.
5. Restrictions
You are NOT ALLOWED to:
6. Termination
Violation of any terms will result in automatic termination of all rights and cessation of font usage without a refund.
7. Warranty
Edito provides no warranties for the fonts and is not liable for any damages resulting from their use. Due to their digital nature, all sales are non-refundable. Defective font files reported within 30 days of purchase will be addressed.
8. Legal
This EULA is governed by French law, excluding the United Nations Convention on Contracts for the International Sale of Goods. Edito reserves the right to update this EULA at any time. Updates apply to future license purchases and do not retroactively alter previously purchased licenses.
9. Taxes and Invoicing
All purchases are subject to applicable taxes based on the customer’s billing country and local regulations. For customers within the European Union, VAT is applied according to EU OSS rules using the rate of the customer’s member state. Businesses with a valid VAT number can reclaim the VAT directly through their local tax authority. If you would like your VAT number to appear on your invoice for reimbursement purposes, feel free to contact us after your order and we will issue an updated invoice.
